Terms of Service.

These terms govern your use of the TaxSQR software platform and our enrolled-agent services. By creating an account or engaging the desk, you agree to them.

1. Who we are

TaxSQR is operated by TaxSQR LLC, a Wyoming limited liability company (“TaxSQR”, “we”, “us”). We provide (a) a software platform for tax practices and (b) tax-preparation and bookkeeping services performed by IRS-licensed enrolled agents. These Terms apply to both, except where a section is marked as software-only or services-only.

2. Accounts

You are responsible for the activity under your account and for keeping your credentials and multi-factor device secure. You must be authorized to act for the firm you register, and you must provide accurate information. We may suspend accounts that are used unlawfully or that put other customers’ data at risk.

3. Your clients’ data

When you use TaxSQR you may upload information about taxpayers and their returns. As between you and us, that data is yours; we process it to provide the service, under our Privacy Policy. You are responsible for having the right to provide it and for any consents your own clients require.

4. Fees and billing (software)

Software subscriptions are billed per seat, in advance, on the cycle shown at checkout. Fees are non-refundable except where required by law. We may change pricing with at least 30 days’ notice before a renewal; continued use after a change means you accept it.

5. Engagements (services)

Service work is performed under a separate engagement, priced per return or by retainer. The scope, price, and turnaround for each engagement are set out when you request it. Enrolled agents sign returns in their professional capacity; nothing in these Terms creates a partnership or employment relationship between your firm and the desk.

6. Acceptable use

  • Don’t attempt to access another tenant’s data, probe for vulnerabilities without authorization, or disrupt the service.
  • Don’t upload malware, or content you have no right to upload.
  • Don’t use the platform to file returns you know to be fraudulent.

7. Intellectual property

The platform, its design, and its underlying software are owned by TaxSQR. We grant you a limited, non-exclusive, non-transferable right to use it during your subscription. You retain all rights in the data you upload.

8. Disclaimers & limitation of liability

The software is provided “as is.” We are not your accountant or attorney, and the platform is a tool, not tax advice. To the fullest extent permitted by law, TaxSQR’s aggregate liability arising out of these Terms is limited to the amounts you paid us in the twelve months before the claim. We are not liable for indirect or consequential damages.

9. Termination

You may cancel at any time; your subscription runs until the end of the paid term. We may suspend or terminate for material breach. On termination you may export your data for 30 days, after which it is deleted per our retention schedule.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The courts located in Wyoming have exclusive jurisdiction over disputes, except that either party may seek injunctive relief where appropriate.
